Eventbrite to Be Acquired by Bending Spoons in $500 Million All-Cash Deal: Eventbrite, Inc. (NYSE: EB), a global leader in shared experiences, announced that it has signed a definitive agreement to be acquired by Bending Spoons in an all-cash transaction valued at approximately $500 million. The deal, which promises to reshape the experience-economy landscape, remains subject to regulatory clearances, standard closing conditions, and approval from Eventbrite shareholders.
As the announcement unfolded, Luca Ferrari, CEO and Co-Founder of Bending Spoons, emphasized the strategic importance of the acquisition. According to Ferrari, joining forces will accelerate innovation and strengthen Eventbrite’s tools, enabling creators to bring more people together worldwide. He added that Bending Spoons plans to explore new opportunities after the deal closes, including AI-powered event creation, enhanced searchability, a dedicated messaging feature, and a secondary ticket marketplace.

Transaction Details
Under the agreement, Eventbrite stockholders will receive $4.50 in cash per share, representing an 82% premium over the company’s 60-day volume-weighted average share price as of December 1, 2025. Eventbrite’s Board of Directors unanimously approved the deal.
The acquisition is expected to close in the first half of 2026, subject to all customary approvals. Once completed, Eventbrite will become a privately held company, and its stock will be delisted from public exchanges.
