Nielsen to Acquire DoubleVerify in $2.15 Billion Deal, Creating End-to-End Media Intelligence Platform: Nielsen Holdings, a global leader in audience measurement, data, and media intelligence, has announced a definitive agreement to acquire DoubleVerify, a leading software platform for media quality verification, ad performance optimization, and campaign measurement, in an all-cash transaction valued at approximately $2.15 billion.

Under the terms of the agreement, DoubleVerify shareholders will receive $13.60 per share in cash, representing a 30% premium over the company’s 60-day volume-weighted average share price as of August 5, 2026. The transaction has been unanimously approved by the boards of both companies and is expected to close during the first quarter of 2027, subject to shareholder approval and customary regulatory clearances.

The acquisition marks a significant milestone in the evolution of the advertising technology industry, combining Nielsen’s audience intelligence and cross-platform measurement capabilities with DoubleVerify’s trusted media verification and optimization platform.

Building the Future of Media Intelligence

Commenting on the acquisition, Karthik Rao, Chief Executive Officer of Nielsen, said the company has undergone a major transformation in recent years by expanding its platform across the entire media lifecycle—from content discovery and audience planning to measurement and business outcomes.

“Joining forces with DoubleVerify strengthens our commitment to independence and trust in advertising,” Rao said. “Together, we will provide publishers, advertisers, agencies, and digital platforms with a truly independent, end-to-end solution that combines trusted audience intelligence with verified media delivery across every screen, channel, and transaction.”

The combined platform is expected to help advertisers ensure their marketing investments reach real audiences in brand-safe environments while providing comprehensive measurement across television, streaming, social media, mobile, connected TV (CTV), and emerging AI-powered advertising channels.

Expanding Digital Advertising Capabilities

DoubleVerify has established itself as a global leader in digital media verification, offering advertisers solutions that validate viewability, detect invalid traffic, measure brand suitability, and optimize campaign effectiveness using AI-powered technology.

Mark Zagorski, Chief Executive Officer of DoubleVerify, described the agreement as an important milestone for the company.

“As part of Nielsen, we will have access to expanded resources that will enable us to deliver new market-leading solutions for our customers and partners,” Zagorski said. “By combining DoubleVerify’s accredited media quality signals with Nielsen’s cross-screen audience measurement, we have the opportunity to create a new standard for measuring both audience delivery and media quality.”

He added that the combined capabilities will help the advertising industry adopt artificial intelligence with greater confidence by providing verified data, trusted measurement, and integrated optimization tools.

Strengthening Trust in Digital Advertising

The transaction brings together two companies focused on transparency and accountability in advertising.

According to Nielsen, the combined organization will integrate audience measurement, media verification, contextual analysis, and campaign optimization into a single platform, reducing advertisers’ reliance on multiple vendors while improving campaign effectiveness and reporting.

The acquisition also significantly expands Nielsen’s presence in the rapidly growing $240 billion global digital advertising market, strengthening its capabilities across social media, streaming, mobile, connected TV, and AI-driven advertising platforms.

Importantly, Nielsen confirmed that DoubleVerify will continue to operate under its existing brand and name following completion of the acquisition, while maintaining its industry-leading independent verification standards, including invalid traffic detection, viewability measurement, and brand suitability solutions.

Transaction Financing

The acquisition will be financed through a combination of committed debt financing provided by Barclays, BofA Securities, and Citi, together with incremental equity financing and Nielsen’s existing cash resources.

Upon completion, DoubleVerify will become a privately held company, and its shares will no longer trade on public stock exchanges.

Investment firm Providence Equity Partners, which owns approximately 11.8% of DoubleVerify’s outstanding shares, has agreed to vote in favor of the transaction and will conclude its investment upon the deal’s completion.
